DPDP ACT 2023 & B2B SAAS AGREEMENT

Terms of Service & SaaS Agreement

Effective Date: October 2026 · Legal Reference: TOS-2026-V1

This Agreement governs the use of the RestroSense Restaurant Operating System and outlines our binding commitment to your business sovereignty, absolute data ownership, and cloud platform terms.

100% Data Ownership

You own all your restaurant data, menus, prices, sales records, customer receipts, and proprietary recipes. We never claim any copyright or ownership over your business assets.

YOUR IP ALWAYS

Infrastructure Provider

We act solely as a Technology Infrastructure Provider and Data Processor. We do not operate food establishments, compete with your cafe, or dictate your commercial prices.

NO COMMISSIONS

Zero 3rd-Party Sharing

Strictly compliant with India's DPDP Act 2023. We never monetize, broker, sell, or disclose your sales numbers or diner records to competitors or advertisers.

ZERO SNOOPING
1

License Grant & Permitted Use

RestroSense ("Platform", "we", "us") grants you ("Restaurant", "Subscriber", "Owner") a non-exclusive, revocable, non-transferable subscription license to use our cloud software, QR ordering portals, Kitchen Display System (KDS), Manager Dashboard, and Counter Point of Sale (POS) tools solely for internal food and beverage operational management.

2

Absolute Restaurant Data Ownership

You retain 100% intellectual property, commercial copyright, and ownership rights over all data uploaded or processed through your tenant workspace, including but not limited to:

  • Menu items, photography, descriptions, dietary labels, and pricing structures.
  • Order history, running table bills, itemized invoices, and settlement records.
  • Customer contact details entered for digital receipts, takeaway tokens, or reservations.
  • Kitchen throughput timings, table seating maps, and staff roster data.

RestroSense will not use your proprietary business data for any purpose other than executing software features requested by you or your authenticated staff.

3

Role as Technology & Cloud Infrastructure Provider

RestroSense is an independent software technology platform. We explicitly clarify that:

  • We are not a food aggregator, delivery fleet, or culinary operator. Food preparation quality, hygiene standards, allergen warnings, and licensing (such as FSSAI registration in India) are solely the restaurant's responsibility.
  • We act strictly as a Data Processor / Data Intermediary. You are the Data Controller (Fiduciary) of your customer relationships.
  • We do not take commissions on menu prices; our revenue is strictly derived from software subscription fees and add-on services.
4

Non-Competition & Protection from Snooping

We acknowledge that your daily revenue numbers, top-selling dishes, and customer traffic represent confidential trade secrets. To protect your trust:

  • No RestroSense employee or administrator is authorized to sell, leak, or share your sales data with neighboring restaurants or third-party marketing firms.
  • System monitoring conducted by our engineering team is restricted strictly to anonymized telemetry (e.g. server CPU health, database latency, error crash logs, and token meter consumption).
5

AI Features, Gemini Models & Telemetry Limits

When using multimodal AI tools (such as the Gemini Vision Menu Card Scanner, Voice Ordering, or AI Dish Generator):

  • Input images and prompts are processed securely via enterprise APIs. Your menu cards and diner voice queries are not used to train public foundation models.
  • AI responses (e.g. dish descriptions or extracted prices) are assistive recommendations; restaurant managers must review prices in the pre-commit review table before publishing to live menus.
  • We enforce quota and rate limits according to your active subscription plan to safeguard against denial-of-service abuse and unpredictable cloud overages.
6

Direct Diner Settlements (Cash & UPI) & Zero Fund Withholding

RestroSense is strictly a management software layer, not a payment gateway, escrow agent, or bank.

  • All customer payments (Cash settlements at counter, dynamic or static UPI QR scans) are received 100% directly by the restaurant into your registered bank account or cash drawer.
  • RestroSense never holds, routes, or delays your operational earnings. Consequently, we are not liable for diner payment disputes, bank UPI downtime, or chargebacks. Your floor staff is responsible for verifying payment confirmation before marking bills as settled.
7

Subscription Tiers, 14-Day Trial & Refund Policy

RestroSense operates on transparent flat-fee subscription plans (Starter & Pro) billed monthly or annually without hidden commission cuts.

  • 14-Day Free Trial: All new restaurants receive full access for 14 days without entering credit card or payment details.
  • 7-Day Money-Back Guarantee: If you transition to a paid plan and are not completely satisfied with our platform within your first 7 calendar days, email support@restrosense.com for a full, no-questions-asked refund.
  • Cancellation Anytime: You may cancel auto-renewals at any point from your billing dashboard. Access remains active until the end of your prepaid billing period.
8

Hardware, ESC/POS Thermal Printers & Local Network

RestroSense is designed to operate on standard consumer hardware (any smartphone, iPad, Android tablet, or laptop) and standard commercial ESC/POS thermal receipt printers (58mm and 80mm via USB, Bluetooth, or local network).

RestroSense does not sell hardware or require proprietary POS machines. You are responsible for ensuring stable internet/Wi-Fi connectivity and properly configured physical thermal printers at your outlet.

9

Account Security & Staff Roles (Owner, Manager, Kitchen)

RestroSense enforces strict cryptographic role boundaries. Kitchen staff accounts are restricted solely to the live Kitchen Display System (`/kitchen`) and cannot access billing, sales analytics, or settings. You are responsible for safeguarding your login credentials and maintaining correct staff access permissions.

10

Data Portability, Account Purge & Governing Law

You retain the right to export all historical order logs, menu items, and customer transaction records in CSV format at any time. Upon verified cancellation, your tenant data will be permanently purged from our primary database servers within 30 days.

This Agreement is governed by the laws of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection (DPDP) Act, 2023. Courts in New Delhi, India shall have exclusive jurisdiction over any disputes.
